Terms of Sale & Service

Effective Date: January 2025

These Terms of Sale & Service, also known as Terms & Conditions, govern all purchases made from Zoza Ink LLC (“Zoza Ink,” “we,” “our,” or “us”), including purchases made through our website, print-on-demand online stores, and invoices issued for custom projects. By placing an order, completing a purchase through an online store, or paying an invoice issued by Zoza Ink LLC, the customer (“Customer,” “you,” or “your”) agrees to the following terms.

1. Custom-Made Products

All items produced by Zoza Ink are custom-made to order, including apparel, promotional items, embroidered goods, and printed merchandise. Because these products are customized specifically for each order, Zoza Ink does not offer refunds on custom merchandise. At Zoza Ink’s sole discretion, store credit may occasionally be issued to resolve customer concerns. Issuing store credit is not guaranteed and will be determined on a case-by-case basis.

2. Proofs and Artwork Approval

For custom projects where artwork is created or modified by Zoza Ink, a digital proof or mockup may be provided prior to production. We will make every attempt to create error-free artwork, and we require all proofs to be thoroughly checked by our clients. This includes spelling, colors, layout/placement, sizes, quantity, and the overall accuracy of the artwork/design. Colors will be matched as close as possible; however, variation may exist in the way colors appear on screen and in the physical print.

Additionally, for embroidered items, digital embroidery proofs provided by Zoza Ink are simulated representations of the final embroidered product. These previews are intended to illustrate the general design layout, thread colors, and placement of the embroidery. Because embroidery is created using stitched thread rather than printed ink, the final embroidered product may vary slightly from the digital proof. Variations may include: stitch texture and density, thread sheen and color appearance, small design details or line thickness, and minor differences in spacing or stitch interpretation.

These variations are a normal result of the embroidery digitizing and stitching process and do not constitute defects. Approval of an embroidery proof confirms that the customer has reviewed and approved the design layout, colors, and placement, understanding that the final embroidered product will be produced using thread and may differ slightly from the simulated preview.

The standard variation for artwork placement on any garment is .25" in any direction.

Once a proof is approved and production begins, orders cannot be canceled or modified. Zoza Ink is not responsible for errors or omissions after the proof has been approved.

3. Print-on-Demand Store Purchases

Products purchased through Zoza Ink’s print-on-demand online stores are produced only after an order is placed. Customers are responsible for reviewing sizing charts and product descriptions prior to purchasing. Because these items are made to order:

  • All sales are final

  • Orders cannot be canceled once production begins

  • Exchanges or refunds are not available for incorrect size selection or buyer preference

4. Custom Orders Paid by Invoice

For custom projects paid via invoice:

  • Payment of an invoice authorizes Zoza Ink to begin production.

  • Orders may not be canceled once production has begun.

Any payment terms listed on the invoice must be followed.

5. Production Variations

Due to the nature of garment decoration and manufacturing processes, slight variations may occur. These may include:

  • Minor placement differences

  • Slight color variations between digital proofs and printed products

  • Variations between garment dye lots

  • Minor differences in garment sizing between manufacturers

These variations are considered normal and do not qualify for refunds or exchanges.

6. Quality Control

Zoza Ink performs quality control inspections on all decorated products prior to shipment. If a manufacturing defect in the blank garment is discovered before shipment, Zoza Ink will replace the item prior to delivery whenever possible. Customers must notify Zoza Ink within 7 days of receiving an order if they believe there is an issue with their order, so the matter can be reviewed.

7. Customer-Supplied Artwork

Customers are responsible for ensuring they have the legal right to reproduce any logos, artwork, trademarks, or copyrighted materials submitted for production. By submitting artwork, the customer represents that they own or have permission to reproduce the design. Zoza Ink is not responsible for any copyright or trademark infringement related to customer-supplied artwork, and will not knowingly print any designs that infringe on the trademark or copyright of others.

8. Artwork Storage and Reuse

Zoza Ink may retain artwork files created or modified for customer orders for future reference and reorders. Unless otherwise agreed in writing:

  • Production-ready artwork created by Zoza Ink may be reused for future orders from the same customer.

  • Zoza Ink may retain design files for internal production purposes.

Customers retain ownership of their original logos, trademarks, and copyrighted materials provided to Zoza Ink.

Zoza Ink reserves the right to display completed work in portfolios, marketing materials, social media, or promotional examples, unless the customer requests confidentiality in writing prior to production.

13. Client-Supplied Garments

Zoza Ink generally does not print or embroider on garments that are not new. All client-supplied garments must be new, unworn, and in suitable condition for decoration. If Zoza Ink agrees to decorate client-supplied garments, the customer must sign Zoza Ink’s Client-Supplied Garment Waiver prior to production.

Because Zoza Ink did not manufacture or supply these items, we cannot guarantee print or embroidery results due to variations in fabric composition, dye treatments, garment construction, or manufacturing inconsistencies. Customers acknowledge that decoration on client-supplied garments is performed at the customer’s own risk. Customers may be asked to provide additional garments to account for potential spoilage during production.

Zoza Ink is not responsible for:

  • Damage to client-supplied garments during printing or embroidery

  • Imperfect decoration results caused by garment material or construction

  • Replacement or reimbursement of client-supplied garments if damage occurs during production

9. Turnaround Times

Estimated production timelines are provided as a courtesy and may vary based on order size, production volume, inventory availability, supplier delays, and shipping carrier delays. Zoza Ink does not guarantee delivery dates unless agreed upon in writing.

10. Shipping & Delivery

Zoza Ink is not responsible for shipping delays once an order has been transferred to the shipping carrier. Customers are responsible for ensuring their shipping address is accurate at the time of order.

11. Production Overruns and Underruns

Due to the nature of custom printing and manufacturing processes, final quantities may vary slightly from the quantity ordered. Zoza Ink reserves the right to deliver up to 5% more or fewer items than the quantity ordered. Customers will be billed for the actual quantity produced. This industry-standard variance accounts for production spoilage and ensures efficient manufacturing.

12. Limitation of Liability

Zoza Ink’s liability is limited to the value of the order placed. Zoza Ink is not responsible for indirect or consequential damages related to the purchase or use of its products.

13. Changes to Terms

Zoza Ink reserves the right to modify these Terms & Conditions at any time. Updated terms will be posted on the Zoza Ink website.
